Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of East Agile Tracker, a project management application available at eastagiletracker.com ("Service"), operated by East Agile, a California corporation ("Company", "we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• You must be at least 16 years old to create an account.
• You must provide a valid email address and keep it up to date.
• You are responsible for safeguarding your password and must notify us immediately of any unauthorized access.
• You may not share your account credentials or allow others to access your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Use License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to:

• Sublicense, resell, or redistribute the Service to third parties.
• Modify, adapt, or create derivative works based on the Service.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to build a competing product or service.

4. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, or impair the Service.

5. Your Content

You retain all rights to the data, text, and other materials you submit to the Service ("Your Content"). By using the Service, you grant us a limited license to host, store, and display Your Content solely for the purpose of providing the Service to you.

You are solely responsible for Your Content and represent that you have all rights necessary to submit it. We do not claim ownership of Your Content and will not use it for purposes unrelated to providing the Service.

6. Payment Terms

No payment is required for use of existing features by current users.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

8. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. We may suspend or terminate your access to the Service at any time, with or without cause, upon notice to you.

Upon termination, your right to use the Service ceases immediately. We will make your data available for export for a period of 30 days following termination, after which it may be permanently deleted.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SKYDECK AI INC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless East Agile and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and close your account.
